Overview and Acceptance of Terms
These Terms of Service (“Terms”) govern the use of verodigital.agency and any services provided by Arena Software Ltd., operating as Vero Digital.
By accessing this website, engaging our services, or entering into a services agreement with Vero Digital, you acknowledge that you have read, understood, and agree to be bound by these Terms.
1. Company Information
Vero Digital is operated by Arena Software Ltd., a corporation organized under the laws of Ontario, Canada, with its principal place of business in Toronto, Ontario.
2. Services
Vero Digital provides digital services including but not limited to:
- Website design and development
- Website hosting and maintenance
- Search engine optimization
- Marketing strategy and implementation
- Analytics configuration
- Third party integrations
- Custom tracking systems
- Technical support
Services may be further defined in separate written agreements executed with clients.
3. Separate Client Agreements
Clients may be required to enter into a separate written services agreement. In the event of conflict between these Terms and a signed services agreement, the signed agreement governs.
4. No Performance Guarantees
Vero Digital does not guarantee:
- Specific search engine rankings
- Lead volume
- Traffic volume
- Conversion rates
- Revenue increases
- Marketing outcomes
All services are provided on a best-efforts basis and are subject to external factors beyond Vero Digital’s control.
5. Fees and Payment
Fees are defined in client proposals or agreements.
Development Fees: Non-refundable once work has commenced.
Monthly Fees: Billed in advance and non-refundable for the billing period.
Failure to pay may result in immediate suspension of services, including hosting and maintenance.
6. Intellectual Property
Client Content: Clients retain ownership of their content, trademarks, and media.
Vero Digital IP: We retain ownership of proprietary frameworks, templates, backend systems, reusable components, tracking systems, and methodologies.
Upon full payment, clients receive a perpetual, non-transferable license to use delivered website materials, excluding proprietary underlying systems.
7. Suspension and Termination
Services may be suspended immediately upon non-payment.
- Hosting may be discontinued
- Access to systems may be revoked
- Data retention may be limited
Clients are responsible for requesting copies of their content prior to termination.
8. Third Party Services
Services may rely on third-party providers including hosting, analytics platforms, search engines, advertising platforms, and embedded software.
Vero Digital is not liable for third-party outages, algorithm changes, policy updates, or disruptions.
9. Indemnification
Clients agree to indemnify and hold harmless Arena Software Ltd. from claims arising from:
- Client-provided content
- Copyright or trademark infringement
- Regulatory violations
- Misuse of marketing systems
- Unlawful advertising practices
10. Limitation of Liability
To the maximum extent permitted by law, Vero Digital shall not be liable for indirect, incidental, or consequential damages.
Total liability shall not exceed the total fees paid in the twelve months preceding the claim.
11. Governing Law
These Terms are governed by the laws of Ontario, Canada. Disputes shall be resolved in the courts of Ontario.
12. Modifications
Vero Digital reserves the right to update these Terms at any time. Continued use of services constitutes acceptance of the updated Terms.
